BOARD MEETING MINUTES
WEKIVA GOLF VILLAS HOMEOWNERS’ ASSOCIATION
December 21, 2008

A board meeting of the Wekiva Golf Villas Homeowners’ Association took place on December 21, 2008, at the WGVHA pool on Albrighton, Longwood, Florida.

John Ewseychik, president of the association, called the meeting to order at 12:35 p.m.  Also in attendance were John Carter, Steve Tretter and Greg Clifford.

The purpose of the meeting is to discuss the upcoming annual meeting and recent problems with dues collections.
John Ewseychik asks John Carter to summarize the status of payments and collections.  Lot 17 at 110 York Ct. has been reported by previous homeowner’s attorney to have been foreclosed upon, with the Bank of America now holding title.  Seminole County records do not yet show the transfer of ownership, but they are sometimes slow in updating their records.  No dues or late fees for Lot 17 have been paid in 2008.  John Carter is attempting to recover payment from Bank of America.  Many payments have been late this year; John Carter has had to send out 37 late notices in 2008.  In addition to Lot 17, there are two other properties with some amount of 2008 dues still outstanding.

Following some discussion as to whether or not the board should increase the late fees and/or charge 18% interest on late payments as provided for in Florida statute, the board decides to keep late fees as-is.  Rather, it is proposed that the Association return to the late payment collection policy from past years, as authorized in the Association documents:  Articles of Incorporation; Declaration of Covenants, Conditions and Restrictions; and Bylaws.  The board shall refer all debt collection for payments at least 30 days past the due date to the Association’s attorney, with all applicable attorneys’ fees billed to the homeowner.  The attorney will process over the next 15 days and send out the invoice(s) for dues plus late fees on the 45th day from due date.  This will be accompanied by a notice of intent to lien and a bill for all applicable attorneys’ fees; attorneys’ fees are currently $180.00.  If payment is not received within 45 days of intent to lien, the attorney shall file a lien and bill the homeowner (currently $240.00) for filing said lien.  Greg Clifford moved to approve the handling of debt collection by the Association attorney.  John Carter seconded the motion.  The motion was passed unanimously.

John Carter requested information regarding the status of the Association’s Covenant renewal, which was approved during the March 8, 2008 board meeting but has yet to appear on the Seminole County website.  John Ewseychik thinks we received this back from our attorney.  Greg Clifford will check the files.

Greg Clifford reports that the mailing for the upcoming Annual Meeting on January 27, 2009 will go out on December 26th or 27th, 2008.  At present there are two (2) candidates for the two (2) open board positions:  Elaine Curran of Lot 5 – 125 W. Wyndham Ct. and Andy Williams of Lot 27 – 137 W. York Ct.  Biography paragraph has been received from Elaine; Steve Tretter will follow up with Andy to get bio for proxy ballot.  John Carter indicates a ballot may not be required in the case where number of candidates equals number of open positions.  Greg Clifford will review Association documents to clarify.  John Carter presents a recent email from attorney showing a change in Florida law regarding staggered terms for Association board members may require an approval from the membership.  John Ewseychik will get clarification from attorney so measure can be included in proxy ballot if necessary.

Greg Clifford moved to adjourn the meeting; Steve Tretter seconded the motion.
