BOARD MEETING MINUTES
WEKIVA GOLF VILLAS HOMEOWNERS’ ASSOCIATION
January 6, 2007

The board of directors of the Wekiva Golf Villas Homeowners’ Association met on January 6, 2007, at the pool. Attending were directors John Ewseychik, president; Jerome Bocquet, vice president; and John Carter, secretary-treasurer. Homeowner Judy Simms was present by conference call and volunteered to take the minutes.

John Ewseychik called the meeting to order at 10:06 a.m.

Mr. Ewseychik stated that the purpose of the meeting was to vote on an amendment, prepared by Attorney Paul Wean, to expand the board of directors from 3 members to 5 and to allow for staggering of terms for election. Article XII of the Articles of Incorporation allows the board of directors to amend the bylaws by a majority vote of the board.

Mr. Bocquet made a motion to amend Article IV of the Bylaws according to the amendment prepared by Attorney Wean. J. Carter seconded the motion. The vote by the board was unanimous.

J. Ewseychik then requested J. Simms to read back the minutes of today’s meeting, which she did. J. Carter made a motion to accept the minutes. J. Bocquet seconded the motion and the vote was unanimous. J. Ewseychik then proposed that the approved amendment, prepared by the attorney, be attached to the minutes.

The meeting was adjourned at 10:12 a.m.
